You must be at least 18 years old and have the legal authority to enter into binding contracts to use our Services. By using our website or engaging our services, you represent that you meet these requirements.

3. Client Responsibilities

When engaging our services, you agree to:

• Provide accurate and complete information as needed for the project
• Provide timely feedback and approvals to avoid project delays
• Ensure you have the rights to any content, data, or materials you provide to us
• Maintain the security of any login credentials provided to you

4. Payment Terms

Payment terms will be outlined in your individual service agreement. General terms include:

• A deposit may be required before work begins
• Invoices are due upon receipt unless otherwise stated
• Late payments may result in paused or suspended services
• All fees are non-refundable once work has commenced, unless otherwise agreed

5. Intellectual Property

Upon full payment, you will own the deliverables created specifically for your project. ScalePlus retains the right to:

• Use general knowledge, techniques, and skills gained during the engagement
• Reuse proprietary frameworks, libraries, and tools that are not unique to your project
• Showcase the work in our portfolio (without revealing confidential information) unless you opt out in writing

6. CRM Platform (Free Trial)

If you sign up for our CRM platform:

• The free trial period is 14 days from the date of signup
• After the trial period, access will be revoked unless you subscribe to a paid plan
• We reserve the right to modify or discontinue the free trial at any time
• You are responsible for any data entered during the trial period

7. Limitation of Liability

To the maximum extent permitted by law, ScalePlus shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of our Services or website.

Our total liability for any claim arising from or relating to our Services shall not exceed the total amount paid by you to ScalePlus in the 12 months preceding the claim.

8. Warranties and Disclaimers

Our Services are provided "as is" and "as available." While we strive for excellence in every project, we do not guarantee that:

• Our services will meet all of your requirements
• Our services will be uninterrupted, timely, or error-free
• Any specific business results will be achieved

9. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the engagement. This obligation survives the termination of the business relationship.

10. Termination

Either party may terminate a service engagement with written notice as outlined in the individual service agreement. Upon termination:

• All outstanding payments become due immediately
• We will deliver any completed work up to the termination date
• Both parties will return or destroy confidential information

11. Governing Law

These Terms are governed by and construed in accordance with applicable law. Any disputes arising from these Terms shall be resolved through good-faith negotiation, and if unresolved, through the appropriate legal channels.

12. Changes to These Terms

We may update these Terms from time to time. Changes will be posted on this page with an updated "Last updated" date. Continued use of our website or services after changes constitutes acceptance of the revised terms.
